le 5 mai 2006 — Dans le cadre de la fusion annoncée le 2 avril 2006,
Alcatel (Paris: CGEP.PA et NYSE: ALA) et Lucent Technologies (NYSE: LU)
annoncent aujourd'hui la création de l'équipe qui va gérer
l'organisation de la transition et de l'intégration des deux sociétés.
Cette équipe est constituée d'une « Equipe Projet Intégration
», de « Groupes de Travail » et d'un « Comité
de Pilotage ».
L'Equipe Projet Intégration
sera responsable de l'ensemble de l'organisation, de la gestion du calendrier
et des résultats du projet. Comme annoncé précédemment,
Christian Reinaudo a été nommé responsable du Projet
Intégration pour Alcatel. Pour Lucent, Janet Davidson, directrice
de la stratégie, a été nommée responsable du
Projet Intégration.
Les Groupes de Travail seront
responsables de la transition et de l'intégration pour leur sphère
de compétence, en ligne avec les objectifs globaux du projet et
la réalisation des synergies. Un ou une responsable par société
est nommé(e) pour chaque Groupe de Travail.
Le Comité de Pilotage
s'assurera que tous les objectifs du projet sont atteints, notamment les
synergies à réaliser. Les membres du Comité de Pilotage
représentant Alcatel sont Mike Quigley, directeur général
adjoint d'Alcatel, Jean-Pascal Beaufret, directeur financier d'Alcatel
et Christian Reinaudo. Les membres représentant Lucent sont Frank
D'Amelio, directeur général adjoint de Lucent, John Kritzmacher,
directeur financier de Lucent et Janet Davidson.

April 2, 2006 - Alcatel (Paris: CGEP.PA, NYSE: ALA) and Lucent Technologies
(NYSE: LU) today announced that they have entered into a definitive merger
agreement to create the first truly global communications solutions provider
with the broadest wireless, wireline and services portfolio in the industry.
The primary driver of the combination is to generate significant growth
in revenues and earnings based on the market opportunities for next-generation
networks, services and applications, while yielding significant synergies.
The combined company's increased scale, scope and global capabilities will
enhance its long-term value for shareowners, customers and employees. The
transaction, which was approved by the boards of directors of both companies,
will build upon the complementary strengths of each company to create a
global leader in the transformation of next-generation wireless, wireline
and converged networks.
