Grove Bancorp, Inc. was formed to facilitate the reorganization of Willow
Grove Bank (the Bank) from the two-tier mutual holding company form to
the stock holding company form of organization. The reorganization was
completed on April 3, 2002. The Bank, which is now a wholly owned subsidiary
of the Company, was originally organized in 1909, and is primarily engaged
in attracting deposits from the general public and using those funds to
invest in loans and securities
